Nift Networks Gift Terms and Conditions
1. Introduction
Nift Networks, Inc. (“Nift”) provides an online and mobile application platform (“Nift Platform”) to enable you to discover new brands. Nift teams with third party businesses (“Partners”) who refer you from their sites and applications to the Nift Platform using a referral code provided by Nift (“Nift Codes”). Nift Codes allow you to be matched with promotional offers and discounts for goods or services (“Gifts”) from our advertisers (“Advertisers”). Gifts are recommended to you on the Nift Platform, based on information that you provide to our Partners and/or Nift.
These Gift Terms and Conditions (“Terms”) govern (i) the distribution and use of Nift Codes issued by Nift to you, and (ii) the redemption, acceptance and/or receipt of Gifts using the Nift Codes (collective, “Nift Services”). By using the Nift Services, you agree to be bound by these Terms.
2. Nift Codes
- Nift Codes are personal to you and may not be transferred to another person
- Nift Codes generally expire after one year after they are first presented to you by Partner. If a Nift Code has a different expiration term, the expiration date will be disclosed to you in the user flow.
- Nift Codes are single-use.
3. Gifts
- Gifts can help you try new products and services without paying full price.
- Gifts may only be redeemed for eligible goods and services from Advertisers on the Nift Platform.
- Gifts cannot be used to purchase other gift cards or prepaid cards.
- Gifts cannot be redeemed for cash.
- Gifts must be redeemed by you, and cannot be transferred to another person.
- Gifts may not be combined with other promotions or sales, or used toward gratuity.
- You may not receive a Gift if you provide incorrect or incomplete information in the Nift Platform.
- Gifts may be subject to expiration dates that are disclosed by the Advertiser.
4. Restrictions
- Any advertised value of a Gift by Nift is an estimate and may not reflect the actual market value of a Gift. The estimated value excludes taxes and shipping fees.
- You must be 18 years old or older to use Nift Services.
- Gifts may be discounts that are not sufficient to purchase an entire product or service. In that case, you are responsible for providing the remaining balance.
- Nift reserves the right to refuse, or cancel any Gifts if Nift suspects fraud, misuse, or violation of these Terms.
5. Support
- Nift does not provide any customer support for Gifts. You must contact the Advertiser that provided the Gift for support.
- Nift is not responsible for refunds or returns of any Gifts. You must contact the Advertiser for refunds or returns.

6. Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
7. Changes to Terms
Nift may update these Terms from time to time. Your continued use of the Nift Codes or Gifts after changes take effect constitutes acceptance of the new Terms.
8. Data
Nift’s privacy policy explains how and why Nift collects, uses, and shares information about you when you access or use Nift Services. You understand that through your use of the Nift Services, you consent to the collection and use of this information as set forth in the privacy policy.
9. Warranty Disclaimer
NIFT SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, LEGAL, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NIFT DOES NOT WARRANT THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR FREE. NIFT DOES NOT CONTROL, ENDORSE, OR TAKE RESPONSIBILITY FOR ANY GIFTS OR THE ACTIONS OF ANY PARTNERS OR ADVERTISERS.
IN NO EVENT WILL NIFT BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS ARISING FROM OR RELATING TO THESE TERMS OR THE NIFT SERVICES. ACCESS TO, AND USE OF, THE NIFT SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR RESULTING LOSS OF DATA. THE LIMITATIONS OF THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF NIFT HAS BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF ANY REMEDY SET FORTH IN THESE TERMS IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
